Vault is a secure platform designed to help individuals, families, and organizations store, organize, preserve, and share photos, videos, Collections, captions, and other digital memories.

You must have the legal capacity to enter into a binding agreement in your jurisdiction to use Vault. If you create an account on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.

You are responsible for: • Maintaining the confidentiality of your login credentials. • All activity occurring under your account. • Keeping your account information accurate and current. • Promptly notifying Vault of any unauthorized use of your account. You are responsible for all activity that occurs under your account unless prohibited by applicable law.

Vault may offer both free and paid subscription plans. Features, storage limits, pricing, and subscription benefits may vary by plan and are described on our website. Vault reserves the right to modify available plans, features, storage limits, or pricing with reasonable notice where required by law.

Paid subscriptions are billed annually unless otherwise stated. By purchasing a subscription, you authorize Vault or its payment processor to charge your selected payment method. Subscriptions automatically renew unless canceled before the next renewal date. Applicable taxes may be added where required by law.

Your memories remain yours. You retain ownership of every photo, video, Collection, caption, and other file you upload. Vault does not claim ownership of your content. To provide the Service, you grant Vault a limited, worldwide, non-exclusive, royalty-free license to: • Store your content • Back up your content • Synchronize your content • Process your content • Display your content to you and people you authorize • Generate thumbnails and previews • Generate searchable keywords • Improve search functionality This license exists only for the purpose of operating and improving Vault.

Vault may use artificial intelligence to help organize your memories by generating searchable keywords, identifying similar content, improving search, and enhancing accessibility. Unless you expressly consent, Vault will not use your uploaded content to train general-purpose artificial intelligence models.

Vault allows you to create Collections and invite others to access them. Depending on available features, you may grant permissions allowing another user to: • View • Download • Upload • Add or edit captions • Collaborate on Collections You remain responsible for deciding who receives access. Vault is not responsible for content copied, downloaded, exported, or shared by users you authorize.

You agree not to use Vault to: • Violate any law or regulation. • Upload content that infringes another person's intellectual property rights. • Upload child sexual abuse material or exploitative content. • Promote terrorism, violence, or organized criminal activity. • Commit fraud or identity theft. • Distribute malware, ransomware, or malicious software. • Attempt unauthorized access to another user's account. • Interfere with the security or operation of the Service. • Circumvent subscription limits or technical protections. • Use automated systems in a manner that negatively affects the Service.

You represent that you own or have the legal right to upload all content you submit to Vault. If Vault receives a valid copyright complaint, we may remove or restrict access to the content while investigating the claim. Repeated copyright infringement may result in account suspension or termination.

Vault is committed to protecting the privacy of our users while maintaining a safe and lawful platform. Vault does not routinely review or browse customer content. However, authorized personnel may access limited account information or user content when reasonably necessary to: • Respond to customer support requests. • Investigate suspected violations of these Terms. • Detect fraud, malware, spam, or other security threats. • Respond to reports of illegal or abusive activity. • Comply with applicable laws, subpoenas, court orders, or lawful requests from government authorities. • Protect the safety, rights, or property of Vault, our users, or others. Any access is limited to authorized personnel and only when reasonably necessary to fulfill these responsibilities.

Vault may suspend, restrict, or terminate accounts that: • Violate these Terms. • Present security risks. • Engage in unlawful activity. • Harm other users or the Service. • Misuse the platform. • Attempt to circumvent subscription or storage limits. Where appropriate, we may provide notice and an opportunity to resolve issues before termination.

We strive to provide reliable service but cannot guarantee uninterrupted availability. Maintenance, software updates, internet outages, hardware failures, or circumstances beyond our reasonable control may temporarily affect the Service.

Vault is designed to help preserve your memories through secure storage and backup systems. However, no storage system is infallible. Users are encouraged to maintain their own backups of irreplaceable content. Vault is not responsible for loss resulting from events beyond our reasonable control, including hardware failures, internet disruptions, cyberattacks, or force majeure events.

Except for user-uploaded content, all software, code, designs, trademarks, logos, graphics, text, interfaces, and technology associated with Vault remain the exclusive property of Vault Momento, LLC or its licensors. You may not copy, reverse engineer, modify, distribute, or create derivative works from the Service except as permitted by applicable law.

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Vault disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Vault does not guarantee that the Service will always be uninterrupted, error-free, secure, or free from harmful components.

To the fullest extent permitted by applicable law, Vault Momento, LLC and its affiliates, officers, employees, contractors, and partners shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, business interruption, goodwill, or data, arising out of or relating to your use of the Service. Where applicable law does not permit certain limitations, this provision applies to the maximum extent permitted by law.

You agree to defend, indemnify, and hold harmless Vault Momento, LLC, its affiliates, officers, directors, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from: • Your use of the Service. • Your uploaded content. • Your violation of these Terms. • Your violation of another person's rights.

These Terms are governed by the laws of the State of New Jersey, United States, without regard to its conflict of law principles, except where mandatory consumer protection laws require otherwise. Any disputes arising from these Terms shall be resolved in the state or federal courts located in New Jersey, unless applicable law provides otherwise.

Vault may update these Terms from time to time. If material changes are made, we will provide notice through the Service or by other appropriate means. Your continued use of Vault after revised Terms become effective constitutes acceptance of those changes.
